Abstract

InterActive Productions is a startup company providing interactive software accessible through the Internet. The company had received $350,000 in seed money from Compuline Online Services to bring its first interactive product, Golf Interactive, live for Compuline subscribers and other Internet users. The company is now negotiating with Redden-Post, a Silicon Valley venture-capital firm, for "first-round" financing. The issues under consideration include valuation of the company, equity ownership for the investors and founders, composition of the board of directors, operating covenants, and equity-incentive clauses for the owners should they achieve or exceed their goals. This case and its companion, "InterActive Productions: Jessica Sanders" (UVA-QA-0496), form a two-party, multi-issue, scorable negotiation exercise.

Cameron Alexander clicked off the speaker on his phone, sat back in his chair, and arranged the five pages of notes he had taken in his three-hour conversation with Jessica Sanders. Sanders's venture capital firm, Redden-Post, was considering making an investment in Alexander's new company, InterActive Productions, and the real negotiations were set to begin.

It was mid-June 1995 and for the past eight months Alexander had been working tirelessly to start InterActive. The company was founded to provide interactive content for online services, the internet, and eventually CD-ROMs and television. Alexander's first product, Golf InterActive, had been launched two weeks earlier on the Compuline Online Service and was doing well, but if he failed to get a cash infusion soon, the business would be in trouble before it was even off the ground.
