Abstract
This paper offers a descriptive analysis of corporate governance in the Netherlands. It has been prepared as a country report for the International Congress on Comparative Law to be held in Washington, in 2010. The paper consists of four parts. Part 1 sets the stage and offers general information on corporate governance in the Netherlands. Part II discusses internal governance, and focuses on the role of boards, shareholders, labour and audit. Part III discusses external corporate governance, and focuses on takeover regulation and transparency requirements. Finally, Part IV discusses enforcement of corporate governance in the Netherlands.
