Abstract
This paper analyses the Spanish Supreme Court Decision, Civil Court, of 21 December 2009 (JUR 2010\24346). It raises two issues: firstly, the incorporation of subjective reasons to the contractual cause; secondly, the remedies for breach of representations and warranties included in share purchase agreements.
