Abstract
The law and corporate practice are living in Spain a major upheaval because of the unexpected-or, at least, unannounced, amendment of art. 105.2 of the Corporations Act (LSA), which aims to eliminate the statutory limits on the exercise of voting rights in listed companies. The purpose of this paper is to shed some light on the desirability of banning corporate shields to limit voting rights, an issue that has fully entered into the corporate life today.
