Shareholder Voting in Germany

Abstract
The paper provides an analysis of the rules and practice of shareholder voting in Germany. The paper surveys the available data on voting in large German companies and the literature on the relationship between voting and corporate performance. The paper focuses then on issues such as depositing and blocking of shares, convening the general meeting, setting of the agenda, participation rights and proxy rules. Considering the internationalization of capital investments, it aims also at making companies aware of practices which may hamper the effective participation of foreign shareholders.
