Abstract

The Companies Bill is expected to be enacted and implemented in 2014. This article covers the rewrite of the Companies Ordinance (CO Rewrite) and the key provisions that affect listed companies. Part One deals with the issues and processes leading to the CO Rewrite, including the background, public consultations, objectives and purposes of the rewrite, rewrite logistics and timetable. Part Two focuses on the key amendments and changes that reform and modernise the company law, and the issues of concern raised by The Chamber of Hong Kong Listed Companies, including those regarding the position of listed companies, codification of directors’ duties and head count test.
