Abstract
The integration of CSR into corporate governance can be achieved by introducing network governance that also provides operating and competitive advantages to remove perceived conflicts between investors and others stakeholders. Network governance allows stakeholders to become engaged in protecting and furthering their interests with less costly and intrusive government laws, regulations, and codes of practices or extensive CSR reporting. Cybernetics laws of requisite variety explain why stakeholder engagement also provides advantages by generating sufficient variety of control and communication channels to resiliently manage complexity.
