Abstract
This paper discusses the representation of unincorporated associations and the emerging area of an attorney’s liability for aiding and abetting a breach of fiduciary duty. In this latter context, it is important to understand the duties within limited liability companies, which vary considerably from state to state. Finally, the paper suggests some language that attorneys might consider using to make clear the representation that they are undertaking.
