Abstract
This paper comments on the reform of the Malaysian Companies Act 1965 in 2007 relating to the role and duties of directors. The updates were thought necessary to keep up with legal development elsewhere. However it appears to be a patchwork of transplanted legal rules and poses questions on the efficacy of the lawmaking process in Malaysia.
