Abstract

This study evaluates corporate governance issues in banks operating in Nigeria and deals with board characteristics, composition, operations and processes, as well as their degree of compliance with Central bank of Nigeria Code of Corporate Governance. The empirical findings of the study reveal useful insights with respect to Corporate Governance Practices in Banks operating in Nigeria. The results show that Nigerian Banks have embraced the principles of good Corporate Governance and have achieved high degree of compliance with the Central Bank of Nigeria Code of Corporate Governance and the Securities and Exchange Commission (SEC) code.

This paper draws a number of conclusions and recommendations and also highlights some limitations that can be improved upon in future studies.
