Abstract

In this short article, I consider Lyondell Chem. Co. v. Ryan, probably the most important Revlon case that the Delaware courts have decided in several years. I give particular attention to how the Delaware Supreme Court and the Delaware Court of Chancery dealt with the good-faith component of a board's duty of loyalty once Revlon-duties have been triggered.
