Abstract

Describes the institutes of offer and acceptance on a comparative basis. Explains why these concepts are useful in determining whether a contract has been formed, and why nevertheless they are not elements of a contract nor requirements for its validity.

Describes a leading USA CISG case and a UK case on the difficulty of determining when a contract has been formed during long negotiations. Suggests methods that businessmen can use to avoid difficulties. Describes the English/UK word-of-art 'subject to contract.' Describes the entrance into the Lithuanian lexicon of these concepts. Beiefly describes and contrasts the way these concepts are taught in the USA with their treatment on the Continent (Europe sans UK).
