Abstract
The present paper examines how board structure has changed in the course of discussions on corporate governance. Boards of all Swiss Market Index (SMI) firms have been analyzed according to their size, CEO duality, multiple directorships, proportion of foreigners and women, and comittees from 1988 to 2007. Overall, boards have become smaller, more heterogeneous, and more professional.
In der vorliegenden Arbeit soll untersucht werden, wie sich im Zuge der Diskussionen um die Corporate Governance, die unweigerlich in diesem Zusammenhang stehende Struktur schweizerischer Verwaltungsräte verändert hat. Es wurden alle Verwaltungsräte der SMI-Firmen seit Einführung des Index im Jahre 1988 bis 2007 nach Grösse, Doppelmandate, Mehrfachmandate, Ausländer-/Frauenanteil und Ausschüssen analysiert. Insgesamt lässt sich feststellen, dass die Verwaltungsräte in diesem Zeitraum kleiner, heterogener und professioneller geworden sind.
