Abstract

In this paper I review the literature that provide a governance perspective on CSR. I try to explain why the concept will always be the subject of conflicting definitions, in other words, is under-defined and therefore open to normative debate. If corporate social responsibilities could be defined clearly and absolutely, no dialogue would be possible and managers’ decisions would be pre-determined. A governance perspective helps clarify managerial discretion in relation to stakeholder interests and why certain principles get more attention in a certain company.
