Portuguese Abstract: Voto proferido em decisão judicial, no âmbito do Tribunal Regional Federal, com sede no Rio de Janeiro, a respeito da compreensão da disregard doctrine no direito tributário brasileiro e da sua aplicação, pelas autoridades administrativas, depender de um procedimento administrativo prévio. O voto, ao partir da premissa de que é o procedimento administrativo, com a participação do interessado, que legitima a constituição de decisões administrativas restritivas dos seus direitos, conclui que a desconsideração da personalidade jurídica (disregard doctrine), pela autoridade administrativa, deverá ser precedida de intimação das pessoas físicas envolvidas, para que exerçam o direito de defesa, e só poderá ser decretada, em decisão motivada, após o contraditório prévio. Ademais, o voto firma o entendimento de que a responsabilidade pessoal dos sócios-gerentes, prevista no art. 135 III do Código Tributário Nacional / CTN, diante da exegese da Súmula nº 430 do Superior Tribunal de Justiça / STJ (O inadimplemento da obrigação tributária pela sociedade não gera, por si só, a responsabilidade solidária do sócio-gerente), vincula-se à teoria maior da disregard doctrine, de modo que a responsabilização é condicionada à ocorrência de um ilícito do qual, necessariamente, resulte a obrigação tributária. Além de precedentes do próprio STJ, o voto vale-se do Código Modelo de Processos Administrativos - Judicial e Extrajudicial - para Ibero-América, do Instituto Ibero-Americano de Direito Processual, e das seguintes regras em vigor no direito brasileiro: Art. 5 ° LIV e LV da Constituição Federal; Art. 202 I do Código Tributário Nacional; Art. 2 ° §§ 5 °, I, e 6 °, e Art. 4 ° VI da Lei de Execuções Fiscais; Artigos 9°, 10 I e 11, do Decreto Federal 70.235/72; Artigos 2°, 3 ° II e III, 26 e 28 da Lei 9.784/99.
English Abstract: This text is an opinion given in a judgment by the Federal Regional Court based in Rio de Janeiro regarding the understanding of the disregard doctrine in Brazilian tax law and its application as depending on a prior administrative proceeding. The opinion, based on the premise that it is the administrative proceeding, with the participation of the interested party, that legitimates the formation of administrative judgments that restrict rights, concludes that the disregard doctrine must not be invoked by the administrative authority in order to disregard legal personality without first summoning the individuals involved so that they can exercise their right to defense in prior adversarial proceedings, and the resulting decision must be accompanied by a statement of reasons. In addition, the opinion confirms the understanding that the personal liability of the managing partners under Article 135 III of the National Tax Code [Código Tributário Nacional (CTN)], in light of the exegesis of the precedent no. 430 of the Supreme Court [Superior Tribunal de Justiça (STJ)] (i.e., that the company’s breach of a tax obligation alone does not render the managing partner jointly and severally liable), is tied to the broader theory of the disregard doctrine, so that the managing partner cannot be held liable unless the tax obligation necessarily results from the occurrence of an illegal act. Besides the precedents of the Supreme Court itself, the opinion draws on the Model Code of Judicial and Extrajudicial Administrative Proceedings for Ibero-America, of Instituto Ibero-Americano de Direito Processual [Ibero-American Institute of Procedural Law] and the following rules in force in Brazilian law: Article 5 ° LIV and LV of the Federal Constitution; Article 202 I of the National Tax Code; Article 2 ° §§ 5 °, I, and 6 °, and Article 4 ° VI of the Fiscal Enforcement Act [Lei de Execuções Fiscais]; Articles 9°, 10 I and 11, of Federal Decree 70.235/72; Articles 2°, 3 ° II and III, 26 and 28 of the Law 9.784/99.
