Abstract

Disclosure of corporate information forms an integral part of the corporate governance framework. However, increasing disclosure is often confused with better corporate governance practices. This study analyses the relationship between disclosure and corporate governance, and notes disclosure’s role in facilitating corporate governance. An increase in disclosure without reciprocal assurances that such disclosures can be used by shareholders will not result in better corporate governance practices for the firm. This study recommends several practices which can be adopted by companies seeking to turn their disclosures into better corporate governance.
