Abstract
Deutsche Zusammenfassung: Wo steht das Beschlussmängelrecht der GmbH? In welche Richtung sollte es sich weiterentwickeln? Empfiehlt es sich, seine Kodifizierung ins Auge zu fassen? Antworten auf diese Grundsatzfragen sucht der vorliegende Beitrag, indem er den historischen Ursprüngen und richterrechtlichen Entwicklungslinien des Beschlussmängelregimes in der GmbH nachspürt, aber auch, indem er die kautelarjuristische Literatur auswertet und die Lösungsmodelle ausländischer GmbH-Rechte vorstellt. Auf dieser breiten Grundlage werden schließlich Eckpunkte für eine gesetzliche Neuregelung des GmbH-Beschlussmängelrechts in Deutschland entwickelt.
English Abstract: Rescission suits, i.e. actions challenging the validity of resolutions passed by the general shareholder's meeting are the most forceful weapon available to minority shareholders in close corporations. For historical reasons this area of law is not codified in Germany, leaving many aspects open to question. This article provides a stock take of the German case law in this field. It goes on to examine the codification strategies and regulatory techniques developed by other jurisdictions: the reference model, which refers to relevant provisions in stock corporation legislation (Switzerland, Turkey), the integration model, which has common provisions for both private and public companies (Spain, France), the autonomy model with distinct legislation for close corporations (Austria, Poland), and the combination model linking elements of stock corporation and close corporation law (Italy). The article concludes with recommendations for the codification of the rescission suit regime in German GmbH law.
