Arabic Abstract: يندرج حكم محكمة النقض المصرية، الصادر في 14 فبراير 2013، في الطعن رقم 10166، 78 ق، في الدعوى المرفوعة من شركة الشرق الأوسط للنشر ضد الشركة القابضة لمصر للطيران، ضمن قضاء مصري مستقر يعزز التحكيم في مصر؛ حيث يتعلق حكم النقض بإجراءات إبطال ضد حكم تحكيم دولي صدر في القاهرة، في 28 ديسمبر 2006، تحت رعاية مركز القاهرة للتحكيم التجاري الدولي في الدعوى رقم 440 لسنة 2005).

فنتيجةً للتعسف في استعمال حق إنهاء عقد تحرير ونشر مجلة تسويقية بعنوان "حورس"، توزع على متن خطوط مصر للطيران؛ فإن هيئة التحكيم حكمت بتعويض (200 ألف جنيه أسترليني) يلتزم بدفعها الطرف المصري (الشركة القابضة لمصر الطيران) لصالح الطرف الإنجليزي (شركة شبه الجزيرة للنشر، شركة بريطانية ذات مسئولية محدودة).

ولقد عكر صفو صحة حكم التحكيم واقعة أن هيئة التحكيم قد أصدرت خطابًا في 23 نوفمبر 2006، وهو ذات يوم صدور حكم التحكيم، موجهً إلى الأطراف ومركز التحكيم، معلنًا بأن هيئة التحكيم بحاجة للمزيد من الوقت لإصدار حكمها، محددةً أياه بنهاية يناير 2007؛ وهو ما وجد فيه المحكوم ضده دليلاً على عدم انتظام إجراءات المداولة، وهي متطلب جوهري لصحة أحكام التحكيم بموجب قانون التحكيم المصري رقم 27 لسنة 1994 (المادة 40)، وهو ما استجابت له محكمة استئناف القاهرة، والتي أبطلت حكم التحكيم في 6 مايو 2008 (بمناسبة إجراءات إبطال الحكم في دعويين تم ضمهما، وهما أرقام 29 و104، 124 ق، تحكيم تجاري).

على أن حكم الإبطال ما لبث وأن تمَّ إلغاؤه بموجب حكم لمحكمة النقض صدر في 14 فبراير 2013؛ بالاستناد إلى أن واقعة الخطاب محل الجدل لا تكفي لإثبات عكس قرينة استيفاء المداولة؛ وذلك لثبوت واقعة أخرى، ألا وهي توقيع كل المحكمين على حكم التحكيم. فبموجب قضاء مصري مستقر، فإن أحكام التحكيم تعد مستندات رسمية، أضاف إليها حكم محكمة النقض مبدأ أنه: بالتوقيع على حكم التحكيم من قبل كل أعضاء هيئة التحكيم – وهو ما تحقق في الدعوى الماثلة – فإن الاستيفاء الصحيح للمداولة يفترض دون حتى الحاجة للحكم بأن يذكر بأنه قد صدر بناءً على مداولة، وإن هذه القرينة تعبر عن الحقيقة، ولا يغير منها سوى نتيجة إجراءات طعن بالتزوير، وفي غياب ذلك فإن مجرد الشك لا يمس بالحكم. ولقد ذكر حكم النقض بأن طريقة المداولة متروكة لحرية السلطة التقديرية لهيئة التحكيم، بالطبع، في حدود مبدأ سلطان الإرادة وما لا يخالف النظام العام.

وبذلك، يُعد حكم النقض الصادر في 14 فبراير 2013، قضاءً منيرًا في المسائل التالية: (1) الـتأكيد على سلطة هيئة التحكيم في تحديد كيفية المداولة؛ (2) التأكيد على عدم الحاجة الشكلية في حكم التحكيم للنص على أنه قد تم بالمداولة؛ (2) إبراز أهمية توقيع كل المحكمين لاستفادة استيفاء المداولة؛ (3) تعزيز مبدأ قرينة صحة الإجراءات في التحكيم؛ (4) التأكيد على الطبيعة الرسمية لمحرر حكم التحكيم، مما يؤدي إلى الحد من إنكار وقائعه دونما اتباع طريق الطعن بالتزوير وهو طريق مرهق لملتمسه. كل ذلك يؤدي وبلا شك إلى المساعدة على تحسين الممارسة السلسة للتحكيم في مصر.

English Abstract: The Egyptian Court of Cassation decision of February 14, 2013, in the challenge No. 10166, of the judicial year No. 78, in the case of the Peninsula for Publishing v. Egyptair Holding Company, comes in line with a constant Egyptian case-law that supports arbitration in Egypt. This cassation decision relates to a setting aside procedure that was raised against an international arbitral award rendered in Cairo, on December 28, 2006, under the auspices of Cairo Regional Centre for International Commercial Arbitration, CRCICA (Case No. 440 of 2005).

Due to established abuse of contract termination that relates to editing and printing a promotional magazine titled "Horus", to be used on board Egypt Airlines "Egyptair", the arbitral tribunal ordered indemnification (200.000 British Pound Sterling) to be paid to the foreign British publishing house (The Peninsula for Publishing, a British LLC) by the Egyptian party (Egyptair Holding Company).

The validity of the award was troubled by the fact that the arbitral tribunal issued a letter, on November 23, 2006, the same day of the issue of the award, addressed to the parties and the arbitration centre, declaring that it needs further time to issue its award, setting it to be the end of January 2007. This fact was found as evidence against proper satisfaction of deliberation, a vital procedural requirement for the validity of arbitral awards under the Egyptian Arbitration Act 27 of 1994 (Article 40), leading Cairo Court of Appeal to set aside the arbitral award on May 6, 2008 (in two setting aside consolidated procedures that challenged the award: Nos. 29 and 104 for the Judicial Year No. 124, Commercial Arbitration).

The setting aside decision was later repealed by the cassation decision of February 14, 2013 for the fact that the debatable letter is not satisfactory to rebut the presumption of deliberation due to the other fact that the award was signed by all the arbitrators. Under constant Egyptian case-law, arbitral awards are considered official records, the cassation decision added to this rule the principle that once an award is signed by all the arbitrators, and that was the case, proper satisfaction of deliberation would be presumed without the need for the award to state that it was deliberated; such presumption will hold truth and would not be rebutted for mere doubt; under the cassation decision, only judicial procedure for falsification can change that, and in absence of which mere doubt would not. The cassation decision recalled that method of deliberation is left to the discretion of the arbitral tribunal, within the party autonomy and public policy constrains.

The cassation decision of February 14, 2013 is considered a leading Egyptian case-law in the following: (1) stressing power of the arbitral tribunal to decide the manner of its deliberation; (2) endorsing absence need for the award to state that it was made after deliberation; (3) highlighting importance of the signature of the arbitrators to conclude satisfaction of deliberation; (4) supporting the principle of presumption of the validity of procedure in arbitration; and (5) stressing on the official nature of the award record, leading to restricting the rebuttal of its stated facts, i.e., only through judicial procedure for falsification, a burdensome procedure for its petitioner. All that would certainly help in enhancing smooth practice of arbitration in Egypt.
