Abstract
תקציר בעברית: אחת מאבני הדרך הפסיקתיות הבולטות – אם לא הבולטת שבהן – בנוגע ליחסי בנק–ערב היא פרשת טפחות בנק משכנתאות לישראל בע"מ נ' ליפרט משנת 1993. בפרשה זו בחן בית המשפט העליון בחינה מקיפה את יחסי הבנק והערב ועסק לעומקה בשאלת היקף ההגנה שלה ראוי הערב ביחסיו עם הבנק. פסק הדין, אשר ניתן בדעת רוב על ידי השופט (כתוארו אז) מצא, משקף גישה מסחרית-ליברלית הדוגלת בצמצום ההתערבות ביחסים מסחריים. על פי גישה זו קבע השופט מצא כי הערב איננו לקוח של הבנק ולכן אינו זכאי לאותה מידה של הגנה מפני הבנק שלה זקוק הלקוח.
במהלך כעשרים השנים שחלפו מאז פרשת ליפרט חל מהפך של ממש ביחסי הבנק והערב. בתי המשפט והמחוקק בחרו לסטות מהלכת ליפרט ולנקוט גישה צרכנית-סוציאלית, אשר הטילה על הבנק שורה ארוכה של חובות ומגבלות והעניקה לערב הגנה אפקטיבית מפני הבנק.
המאמר סוקר את ההתפתחות שחלה במהלך השנים במעמדו של הערב כלפי הבנק, וכפועל יוצא מכך – עוקב אחר גלגול ה של הלכת ליפרט. מסקנת המאמר היא כי למרות הטרנספורמציה במעמד הערב עדיין מוקדם להספיד את הלכת ליפרט.
English Abstract: One prominent milestone in Israeli case law regarding the bank-guarantor relationship is the case of Israel Mortgage Bank Ltd. v Liepart from 1993. In this case, the Supreme Court comprehensively examined the bank-guarantor relationship, and dealt in depth with the scope of protection required for the guarantor. The judgment, which was delivered as a majority opinion by Justice (as he then was) Matza, reflected a commercial-liberal approach that advocated minimal interference in commercial relations. According to this opinion, Justice Matza found that the guarantor is not a customer of the bank and therefore is not entitled to the same degree of protection as is provided to a customer.
During the twenty years that have passed since the Liepart Case, a real transformation has occurred in the status of the guarantor. Both the courts and the legislator have chosen to deviate from the Liepart Case and take a social approach, which imposes on the bank a long list of obligations and restrictions and provides the guarantor with effective protection against the bank.
The article reviews the developments in the status of the guarantor that have occurred over the years, and examines the evolution of the Liepart Case. The article concludes that despite the transformation of the guarantor's status, it is still too early to eulogize the Liepart Ruling.
