Abstract

תקציר בעברית: מורכבותם הלשונית והתוכנית של המסמכים הבנקאיים מובילה לחוסר שוויון אינפורמטיבי בין הבנק לבין הלקוח ויוצרת מכשול חמור בפני לקוחות המבקשים לבצע פעולות בנקאיות.

על מנת להגן על הלקוח וכדי להבטיח שהבנק לא ינצל לרעה את הכוח הנוצר בידיו בשל מכשול השפה, מוצע להטיל על הבנק אחריות משפטית רחבה כלפי לקוחותיו. אחריות זו כוללת את החובות הבאות: החובה לערוך כל הסכם בנקאי בכתב; החובה להדגיש ולהבליט פרטים מסוימים מתוך החוזה; החובה לתרגם את הכתוב ללקוחות שאינם דוברי עברית; החובה לגלות ללקוח את כל הנתונים האינפורמטיביים של העיסקה; החובה לספק הסברים מלאים אודות העיסקה; והחובה לוודא שהלקוח אכן הבין את המידע וההסברים שנמסרו לו.

ההצדקה להטלת אחריות כה רחבה על הבנק טמונה בתפישת יחסי הבנק והלקוח כיחסי אמון מיוחדים, והיא תואמת את הגישה המודרנית בדבר אחריותם החברתית של תאגידים.

English Abstract: The linguistic complexity of the banking contracts creates informational inequality between the bank and the customer, and causes a serious obstacle to customers in the performance of their banking transaction.

In order to protect the customer, it is proposed to impose a broad legal liability on the bank. This liability includes the obligation to make any banking agreement in writing; the obligation to highlight certain details of the contract and to draw attention thereto; the obligation to translate the text for customers who do not speak the local language; the obligation to provide full oral explanation about the transaction; and the obligation to make sure that the customer understands its full repercussions.

The justification for imposing such a broad responsibility on the bank lies in the perception of the bank-customer relationship as a Fiduciary Relationship, and is consistent with the modern approach of Corporate Social Responsibility.
