Abstract

תקציר בעברית: המאמר מנתח את מנגנוני הפיקוח על רשות ניירות-ערך הישראלית ואת מנגנוני השיתוף שמלווים את ההליך שהרשות מובילה במישור הכללים. הניתוח נעשה במבט השוואתי לארבע רשויות ניירות-ערך מהמובילות בעולם: הרשות האמריקאית, הרשות האוסטרלית, הרשות הבריטית והרשות הגרמנית. הניתוח חושף כי הרשות הישראלית חסרה מנגנונים רבים שפועלים באופן מסורתי בארבע הרשויות הזרות, ואשר בכוחן לקדם אסדרה אופטימלית. לנוכח הדברים האמורים, המאמר ממליץ על אימוץ שורה של מנגנונים, תוך הכרה מפוכחת בעלויות הכרוכות באימוצם. הוא מציע להתמודד עם עלויות אלה באמצעות הפעלתם של המנגנונים באופן יחסי למידת השפעתה הצפויה של האסדרה שהם מיועדים ללוות; באמצעות הנהגת פטורים שיוגדרו מראש או אד-הוק; ובאמצעות עיצובם של המנגנונים כך שישתלבו זה עם זה, במטרה למנוע הכבדה על הרשות מחד גיסא, ועל הקהלים המוסדים על-ידיה, מאידך גיסא.

English Abstract: Over the last decade, the Israeli Securities Authority (ISA) has been accused of overregulating the securities market. According to the common argument, ISA has exceeded its traditional mandate—establishing disclosure requirements—and now directly interferes with the corporate governance of publicly traded companies. It has been argued that compliance with the burdensome ISA regulation has become unreasonably costly.

Claims alleging unreasonable governmental interference with the free market deserve attention. Financial overregulation has many negative implications, some of which may be irreversible. However, this Article does not attempt to evaluate the allegations of overregulation or determine whether they are accurate or justified. Instead, this Article explores whether or not the regulatory process that the ISA employs includes mechanisms designed to avoid over-regulation as well as under-regulation, and to ensure an optimal level of regulation based on the principles of “better regulation” and “smarter regulation,” as well as other sophisticated models.

This examination is made by comparing ISA’s rulemaking procedure to the mechanisms which accompany the rulemaking conducted by securities regulators in the United States (Securities and Exchange Commission-SEC), the United Kingdon (Financial Conduct Authority-FCA), Australia (Australian Securities and Investments Commission-ASIC), and Germany (Bundesanstalt für Finanzdienstleistungsaufsicht-BaFin).

To facilitate analysis and comparison, these mechanisms are divided into four groups. The first group is composed of mechanisms that are directly related to the rulemaking process; The second group includes external mechanisms (mechanisms which are set and operate outside the regulatory agency); Internal mechanisms embedded within ISA internal structure comprise the third group; and the fourth and the last group of mechanisms composed of ad hoc mechanisms—designed for dealing with specific issues. This comparative examination reveals that ISA suffers from a significant lack of supervisory and participatory mechanisms within first three levels.

The Article calls for the adoption of participatory and supervisory mechanisms applied in the United States, the United Kingdon, Germany, and Australia as checks and balances on ISA operation. Such transplantation must take into account the unique conditions (mainly legal, economic and political) of the Israeli market. Moreover, the mechanisms offered, should be adopted in a manner causing the mechanisms to complement each other without leading to regulatory overload. Finally, the operation of the mechanisms must be proportionate and concentrate on significant or controversial policy issues, rather than on minor or technical regulatory changes.
