Abstract

Alan Palmiter and Frank Partnoy’s new casebook, Corporations, Second Edition is extraordinarily good. It provides a well-organized, information-rich, balanced view of American corporate law.

Its principal shortcoming is expressed in its title. It is principally a book about the corporate form. Coverage of agency, partnerships, and limited liability companies is limited, making the book less than ideal for a course that includes those subjects.

This Business Associations Supplement is designed to fill the gap. It provides materials for teaching agency, partnerships, and limited liability companies in a course on Business Associations or Business Organizations, using Corporations as the main text. The Supplement also provides (1) problems and exercises that users can substitute for the Points for Discussion in Corporations, (2) fundamental documents for Facebook, Inc. and a hypothetical LLC, (3) some new cases decided since the publication of the second edition of Corporations, and (4) alternative edits of some of the cases in Corporations.
