Abstract

Deutsche Zusammenfassung: Der Beitrag behandelt Überlegungen zur Einordnung und Anknüpfung von Drittbeziehungen. Dritte sind in vielfacher Art und Weise an Schuldverhältnissen beteiligt. Daraus ergibt sich eine Vielzahl von Abgrenzungs- und Anknüpfungsfragen. Hiermit beschäftigte sich auch Ulrich Magnus in seinen Arbeiten zum Internationalen Vertragsrecht. Nach einer Einführung in die Problematik der Drittbeziehungen erläutert der Beitrag den Begriff des „Dritten“: Als Dritte sollen hier grundsätzlich solche Personen betrachtet werden, welche nicht zu den Parteien eines Vertragsverhältnisses zählen. Ansprüche Dritter können auch ohne besondere Vereinbarung oder einen Wechsel der Vertragsparteien oder ihr Hinzutreten zum Schuldvertrag entstehen und gegen eine der Vertragsparteien gerichtet sein. Erörtert werden die Anknüpfungsmöglichkeiten der einzelnen Rechtsbeziehungen, die Voraussetzungen der Anknüpfung und mögliche Ansprüche. Von praktischer Bedeutung sind die Wirkungen von Rechtswahl und objektiver Anknüpfung auf Dritte. Es wird sowohl auf die eigenen Ansprüche Dritter eingegangen als auch die Haftung Dritter veranschaulicht. Mit Blick auf die besonderen Probleme, die Rückgriffs- und Durchgriffsansprüche in Vertragsketten aufwerfen, werden die Direktansprüche in Vertragsketten dargestellt. Neben dem Direktanspruch des Subunternehmers und des Frachtführers werden ferner die Direktansprüche geschädigter Dritter beleuchtet. Zuletzt ist festzuhalten, dass sich die Ansprüche und die Haftung Dritter im Sachrecht häufig in einem Grenzbereich zwischen vertraglichem und außervertraglichem Schuldrecht finden.

English Abstract: The contribution considers third-party relations in terms of their classification and the connections they create. Legal relationships resulting in an obligation may involve third parties in a variety of ways, and as a consequence a number of questions arise regarding delimitation and connecting factors. In the past, these questions have been explored by Ulrich Magnus in his work on international contract law. Following an opening section which introduces problems associated with third-party relationships, the article examines the specific term “third party”. Third parties are generally to be understood as individuals who are not the actual parties to a contractual agreement. Third-party claims can also arise in the absence of a particular agreement or a change of the contractual parties or the inclusion of an additional contractual party and can be directed against one of the parties to the contract. The article examines potential connecting factors resulting from individual legal relations, the prerequisites for finding a connecting factor, and possible liability claims. Attention is paid to the practical effects that a choice of law and the determination of objective connecting factors may have on third parties. Moreover, the discussion looks at the issue of third parties in respect of both the claims they may raise and the liability they potentially face. With a view to the particular problems surrounding recourse actions and liability claims in contractual chains, the article analyses direct claims in such contractual settings. Alongside the direct claim enjoyed by a sub-contractor and a carrier, the direct claims of injured third parties is also explored. Finally, the article concludes in observing that third-party claims and third-party liability in property law matters often fall at the borderline between contractual and non-contractual obligations.
