Abstract

Hebrew Abstract: מקובל לומר כי דיני התרופות מבקשים להגן על שלושה אינטרסים עיקריים: אינטרס הציפייה, אינטרס ההסתמכות ואינטרס ההשבה. מאמר זה עניינו באינטרס רביעי אשר טרם זכה לעיגון חקיקתי כלשהו, אולם זכה לעיגון פסיקתי בדין הישראלי – אינטרס השבת ההתעשרות העוולתית. בהגנה על אינטרס זה מבקשים דיני התרופות להשיב לנפגע מהפרת חוזה את הרווחים שהפיק מפר החוזה על ידי התקשרותו עם צדדים שלישיים, במקום לקיים את החוזה המקורי עם הנפגע.

מאמר זה מבקש להציג בפני הקורא את דיני ההתעשרות העוולתית, ענף משפטי אשר שייך לדיני הנזיקין, ושלא זכה לדיון נרחב בספרות. הפקת רווחים כתוצאה מהפרת חוזה הינה מופע חשוב בדיני ההתעשרות העוולתית. לא ניתן לבחון את הדין המסדיר מופע זה, מבלי שאתן את דעתי למופעים האחרים של ענף ההתעשרות העוולתית, קרי: המופע הנזיקי, מופע הקניין הרוחני ומופע הנאמנות. במדינות המשפט המקובל נהוג לכנות את התרופות הנובעות מהמופעים השונים של דיני ההתעשרות העוולתית, לרבות המופע החוזי בשם "תשלומי השבה". במסגרת המופעים השונים של דיני ההתעשרות העוולתית נוקט אדם בהתנהגות עוולתית אשר מאפשרת לו להפיק רווחים על חשבונו של הנפגע. הנפגע מבקש לשים ידו על אותם רווחים ולשלול מהמעוול את פירות עוולתו . לאחר הצגת כללית של דיני ההתעשרות העוולתית, מבקש המאמר להבחין בין הסוגים השונים של תשלומי השבה להם זכאי נפגע. סוגים אלה נשענים על שיקולי מדיניות שונים ונבדלים. לפיכך, יש שונות במבחנים שעל בית המשפט להחיל קודם שהוא מורה על פסיקתם של תשלומי ההשבה. הדין הקיים כפי שבא לידי ביטוי בהלכת אדרס מאפשר לנפגע לעתור לרווחים שהפיק מפר החוזה מהתקשרותו עם צד ג'. מאמר זה מכיר בנחיצות השבת הרווחים לנפגע מהפרת חוזה, אולם מבקש לסייג את הדין המצוי ולהגבילו לנסיבות בהן פעל המפר מתוך יסוד נפשי אופורטוניסטי. פסיקת הרווחים רק מקום בו פועל המפר מתוך יסוד נפשי של כוונה עולה בקנה אחד עם התנאים הנחוצים לפסיקתם של רווחים במסגרת המופעים האחרים של דיני ההתעשרות העוולתית.

English Abstract: It is common to say that the remedies law wish to protect three main interests: the interest of expectation, the interest of reliance and the interest of restitution. This paper deals with a fourth interest which has not yet been set in any legislation, but has been set in Israeli ruling – the interest of restitution for wrongs. In protecting this interest, the remedies law wish to return to the party injured by contract breaching, the profits made by the party breaching the contract by engaging with third parties, instead of upholding the original contract with the injured party.

This paper wishes to present to the reader the law of restitution for wrongs, a legal branch belonging to tort laws, and which has not been widely discussed in the literature. Yielding profits as a result of contract breaching is an important event in unjust enrichment laws. It is impossible to examine the law arranging this event without considering the other events of the branch of unjust enrichment, namely: the tort event, the intellectual property event and the loyalty event. In common law countries, the remedies resulting from the various events of unjust enrichment laws, including the contractual event, are commonly referred to as “restitution payments”. As part of the various events of unjust enrichment laws, a person behaves in an unjust manner, which enables him to yield profits on account of the injured party. The injured party wishes to seize those profits and to deny the wrongdoer the fruit of his wrongdoing.

After a general presentation of the unjust enrichment laws, the paper wishes to distinguish between the various types of restitution payments to which the injured party is entitled. These types rely on different and separate policy considerations. Therefore, there is variance in the tests the court must apply prior to ruling restitution payments. The existing law as it is manifested in the Adras ruling, enables the injured party to petition for the profits made by the breaching party by engaging with a third party. This paper acknowledges the necessity of returning the profits to the party injured by the contract breaching, however it wishes to restrict the existing law and limit it to circumstances where the breaching party has acted out of an opportunist mental element. The ruling of profits only where the breaching party has acted out of a mental element of intent, coincides with the conditions required for ruling profits in the framework of other events of unjust enrichment laws.
