Abstract

In this article, I unwind the Texas limited liability company law of “veil-piercing,” the convoluted exception to the rule that a business entity is legally separate from its owners. The Texas statutes as presently written both (1) forbid veil-piercing of limited liability companies and (2) specify how veil-piercing of limited liability companies is to be done. After demonstrating this absurdity, the article recommends how courts and the legislature should react to it.
