Abstract

Dutch Abstract: Concentraties moeten steeds vaker aangemeld worden bij meerdere autoriteiten. Deze tendens zal waarschijnlijk nog toenemen gezien het groeiende aantal grensoverschrijdende deals en het grote aantal mededingingsautoriteiten. Dit brengt een risico op tegenstrijdige beslissingen met zich mee. Gevallen zoals General Electric/Honeywell en Eurotunnel/SeaFrance tonen aan dat dit risico niet denkbeeldig is. Om dit soort gevallen tot een minimum te beperken is internationale samenwerking tussen mededingingsautoriteiten cruciaal. De voorbeelden in het artikel tonen aan dat die daadwerkelijk bijdraagt tot het vermijden van tegenstrijdige beslissingen.

English Abstract: Multi-jurisdictional merger filings are on the rise. The trend is likely to continue, given the growth in global M&A and the large number of merger review regimes. When several competition authorities review the same deal, there is a risk of conflicting outcomes. Cases such as General Electric/Honeywell and Eurotunnel/SeaFrance illustrate that this risk is real. International cooperation plays a key role in ensuring consistent outcomes and the article provides several examples of this.
