Abstract

German Abstract: In den realen unvollkommenen Märkten mit Finanzierungsrestriktionen, Insolvenzen und Konkurskosten müssen die Implikationen der Insolvenzwahrscheinlichkeit für den Unternehmenswert berücksichtigt werden. Unternehmen existieren entgegen der typischen Annahme bei der Terminal-Value-Berechnung nicht ewig. Insolvenzwahrscheinlichkeit und Rating sind dabei abhängig von (1) Risikotragfähigkeit (Eigenkapital- und Liquiditätsausstattung), (2) erwartetem Ertragsniveau und (3) Risiken, also dem Umfang der möglichen (negativen) Abweichung vom erwarteten Ertragsniveau. Eine Zunahme des Umfangs der Risiken hat u.U. erhebliche Auswirkungen. Die Insolvenzwahrscheinlichkeit wirkt beim Terminal Value wie eine negative Wachstumsrate. Notwendig ist eine planungskonsistente und möglichst auch risikoadäquate Schätzung der zukünftigen Insolvenzwahrscheinlichkeit, was idealerweise durch stochastische Planungsmodelle möglich ist oder durch eine vereinfachte Schätzung basierend auf prognostizierten Plan-Finanzkennzahlen.

English Abstract: The real world markets are imperfect markets with restrictions in financing, defaults and costs of bankruptcy. Thus the implications of probability of default have to be taken into account when valuating companies. Companies do not exist forever as assumed in the typical terminal value calculation. Probability of default and rating depend on (1) risk-bearing capacity (equity base and liquidity position), (2) expected level of income and (3) risks, e.g. described as the extent of (negative) deviation from the expected level of income (cash flow). A rise in risk may have substantial consequences. The probability of default affects the terminal value like a negative growth rate. The required estimation of the future probability of default has to be consistent with the planning as well as risk-adjusted. This is made possible by using stochastic financial models. A more simple approach is the estimation based on projected financial figures.
