Abstract

תקציר בעברית: במהלך העשור האחרון האכיפה הפלילית הפדראלית האמריקנית כלפי תאגידים – עברה שינוי משמעותי. עם השנים, בתדירות הולכת וגוברת, גיבש משרד המשפטים האמריקני (ה- Department of Justice-DOJ), הסדרים מוסכמים עם תאגידים שנחשדו בביצוע עבירות על החוקים השונים, חלף העמדה לדין שלהם. שני סוגי הסדרים שבהם נעשה שימוש תכוף הם הסדר אי-העמדה לדין (Non-Prosecution Agreement) והסדר דיחוי תביעה (Deferred Prosecution Agreement). הסכמים אלה כוללים, מעבר להתחייבות של התאגידים לתשלום קנסות, תנאים מגוונים שבהם מתחייבים התאגידים לעמוד. בכלל אלה ניתן למצוא הוראות על ביצוע שינויים פרסונאליים בתאגיד (בדגש על העברה מתפקיד של בעלי תפקידים שהוסכם כי היו מעורבים בדרגה כלשהי בביצוע העבירות או שהעבירות בוצעו במשמרת שלהם), גיבוש תכנית ציות חדשה או שיפור משמעותי של תכניות ציות קיימות, גיוס נרחב של עובדים למערך הציות והאכיפה ועוד. לעיתים קרובות, כוללים ההסדרים הללו הוראות בדבר מינוי של מפקח חיצוני (מוניטור) שיהא אמון על בחינה של מידת הציות של התאגידים להסדרים המוסכמים שגובשו עמם, במהלך פרק הזמן שהוגדר בהסדרים (תקופת המבחן).בישראל, נראה שבשנים האחרונות הולכת וגוברת האכיפה הפלילית כלפי תאגידים. עם זאת, במקרים בודדים בלבד נעשה שימוש בהסדרים מוסכמים עם תאגידים, במישור הפלילי, וזאת בעיקר בתחום ניירות הערך. בנוסף, לעת הזו ידוע על שני מקרים בלבד שבהם נעשה שימוש במפקחים חיצוניים (מוניטורים) לפיקוח על רמת הציות של התאגידים להסדרים שגובשו עמם. כך או כך, להוציא את תחום ניירות הערך, לא קיימת היום בישראל מסגרת נורמטיבית כללית לשימוש בהסדרי אי-העמדה לדין פלילי של תאגידים.המאמר קורא לאמץ את השימוש בהסדרים ובמוניטור, בכפוף לגיבוש מסגרת דומה לזו שקיימת בארצות-הברית. בתוך-כך, המאמר מציע ללמוד מהניסיון הרב שנצבר בארצות-הברית בקשר לשימוש בהסדרים ובמוניטור, להקפיד על שימוש מידתי בהם, תוך התחשבות בשוני בין השוק האמריקני לישראלי.

English Abstract: Over the last decade, federal corporate criminal enforcement policy has undergone a dramatic transformation in the U.S. Today, firms that commit crimes frequently enter into pretrial diversion agreements (PDAs), in virtually all areas of corporate criminal wrongdoing including antitrust, fraud, tax evasion, environmental violations, as well as foreign bribery cases.The Article explores the use of PDAs, with a focus on Non-Prosecution and Deferred Prosecution Agreements and corporate monitors, which are often included as a part of the agreements to review the company’s compliance with the terms of the agreements and to evaluate the company’s compliance practices.The Article calls for the adoption of the PDAs in Israel, as an optional alternative to the classic corporate criminal approach. Such transplantation must take into account the U.S. experience, the increasing criticism of the use of the PDAs, and the unique conditions of the Israeli market. Moreover, the operation of the PDAs and the corporate monitor must be proportionate, without leading to over-deterrence.
