Abstract

Corporate Governance as a phenomenon stems its existence from a multitude of spheres each diverged in their approach but converging at the point of ensuring comity of interests among various stakeholders of a corporation. These dimensions often get ignored in assessing Corporate Governance practices which includes a generous mix of socio-political issues that affect the business environment. Governance of a Public Sector Undertaking has adequately represented the significance to scrutinize these factors.

This paper envisages delving into these varied forces that enthral Corporate Governance in Public Sector Undertakings in India with a comparative overview. As an instance of the challenges that a Public Sector Undertaking in India faces, this paper critically analyses the Corporate Governance issues in Coal India Ltd. to provide a holistic understanding of the same.

Finally the paper concludes by searching for the means and ways of how to reduce the ill effects of socio-political forces in governance of these Public Sector Undertakings in India and the lessons learnt & yet to be learnt from best practices in Corporate Governance in the world.
