Abstract

English Abstract: The article deals with misconduct costs of banks, namely, the variety of costs incurred by the banks due to their failure to observe the legal and regulatory requirements imposed on them. In recent years, there has been a dramatic increase in misconduct costs of banks all over the world. Following the Global Financial Crisis of 2007-2009, the banking sector has experienced unparalleled regulatory fines and court rulings that have raised growing concerns regarding the banks’ behavior. Misconduct costs have become a serious concern for regulators, not merely in relation to the conduct of the banks per se – which reflects their ethical level; but also in relation to their capital adequacy – due to the huge amounts involved.

Our article is based on empirical research that examined misconduct costs of banks over a period of five years, and analyzed them against the regulatory and legal framework in which these banks operated. Our case study focused on the Israeli banking system, which is relatively small and concentrated. These idiosyncrasies enabled us to almost cover the whole sector (94%) and conduct an industry-wide analysis. The findings of the research indicate that the banks' misconduct costs are a case-specific issue, rather than a reflection of a general trend of the entire system. In addition, the lack of transparency of these costs was recognized as one of the main hindrances for transforming the banks' misconduct costs into an effective regulatory tool, aimed at improving the banks' behavior and ethics. The conclusions and recommendations contained in the article are highly applicable to other jurisdictions, as well.

תקציר בעברית: מאמר זה עוסק בעלויות שנגרמות לבנקים בגין "התנהגות בלתי תקינה" (misconduct), היינו, בגין אי עמידה בדרישות החוקיות והרגולטוריות המוטלות עליהם. בשנים האחרונות ניתן לראות עליה דרמטית בעלויות ההתנהגות הבלתי תקינה של הבנקים ברחבי העולם. בעקבות המשבר הכלכלי העולמי של 2009-2007, סקטור הבנקאות חווה קנסות רגולטוריים שאין דומים להם והליכים משפטיים שהעלו חששות גוברים בנוגע לאופן ההתנהלות הבנקאית. העלויות ההולכות וגוברות יוצרות חשש רציני בקרב הרגולטורים, לא רק ביחס להתנהגותם של הבנקים – דבר המשקף את הרמה האתית שלהם, אלא גם ביחס להלימות ההון שלהם –בשל הסכומים הגבוהים המעורבים.

המאמר הנדון מבוסס על מחקר אמפירי שבדק את העלויות בגין התנהגות בלתי תקינה של הבנקים הגדולים בישראל על פני תקופה של חמש שנים, וניתח אותן אל מול המסגרת הרגולטורית והחוקית החלה על הבנקים. ההתמקדות במערכת הבנקאית הישראלית שהיא קטנה וריכוזית, אפשרה בחינה של הסקטור הבנקאי כמעט בשלמותו (94%) וביצוע ניתוח רחב שלו.

ממצאי המחקר מצביעים על כך שעלויות הבנקים בגין התנהגות בלתי תקינה מייצגות כל מקרה לגופו, ואינן משקפות בהכרח מגמה כללית של המערכת. בנוסף, העדר השקיפות של עלויות אלה זוהה כאחד המכשולים העיקריים להפיכתן לכלי רגולטורי יעיל שמטרתו לשפר הן את התנהגות הבנקים והן את האתיקה שלהם. המסקנות וההמלצות המופיעות במאמר רלבנטיות גם לשיטות משפט אחרות.
