תקציר בעברית: אחד מאמצעי התשלום המוכרים והנפוצים הוא הצ'ק. אף שבשנים האחרונות השימוש באמצעי התשלום האלקטרוניים הולך וגובר, תשלום באמצעות צ'קים הוא עדיין הנפוץ מבין כל אמצעי התשלום הנסלקים. אולם מתברר שקיים פער בין המציאות המסחרית והשימוש הנפוץ בצ'קים לבין דיני השטרות המיושנים החלים עליהם. למרות השימוש הנרחב בצ'קים והיקפן העצום של העסקאות הנערכות בהם, דיני השטרות אינם מתחדשים באופן מספק. פקודת השטרות הישראלית מהווה העתק של חוק השטרות האנגלי שנחקק עוד בשנת 1882, ונעשו בה שינויים מעטים בלבד. התפתחות מסוימת בדיני השטרות הישראליים נעשתה בפסיקה. אולם, מכיוון שספורים הם הסכסוכים בדיני שטרות המגיעים לדיון לפני בית-המשפט העליון, דיני השטרות נותרו מיושנים.

והנה, בשנת 2015 הזדמן לבית-המשפט העליון לעדכן ולתקן את דיני השטרות בסוגיה מהותית, ולבטל הלכה אנכרוניסטית משנות השישים של המאה הקודמת, וזאת בפרשת טל טריידינג קורפ נ' בנק לאומי לישראל בע"מ. באותו מקרה ביטל בית-המשפט העליון בדעת רוב את ההלכה הישנה המכונה "הלכת גויסקי", וקבע דין חדש בנוגע לטענת ההגנה של כשלון תמורה מלא. אולם, בהמשך, קיבל בית-המשפט העליון בקשה לקיים דיון נוסף בנושא בהרכב של שבעה שופטים. הכרעה סופית, אם כן, טרם ניתנה.

מאמר זה קורא לביטול הלכת גויסקי. הוא מספק שורה של נימוקים תאורטיים ומעשיים לשם כך; בוחן את חלוקת הסיכון הראויה בין כל הצדדים המעורבים; ובעיקר לוקח בחשבון את השינוי שחל בתפקידם של הצ'קים הדחויים בכלכלה הישראלית והפיכתם מאמצעי תשלום לכלי המשמש בטוחה לאשראי עסקי. מסקנת המאמר היא כי ביטולה של הלכת גויסקי והכרעת הרוב בפרשת טל טריידינג משקפות את המדיניות המשפטית הרצויה.

English Abstract: One of the most common forms of payment is the check. Indeed, in recent years, the use of electronic means of payment has increased. Nevertheless, in Israel, checks are still the most common of all the means of payment that require clearance.
However, there is a gap between the commercial reality - the widespread use of checks, and the outdated law that applies to them. The Israeli Ordinance of Bills from 1941, which is a copy of the English Bills of Exchange Act of 1882, has barely been updated throughout the years. Some slight changes were made in the case law, but as only isolated cases arrive to the Supreme Court in the field of negotiable instruments, the law remains outdated.

Such a rare opportunity to update and amend the law of negotiable instruments occurred in 2015, in the case of Tal Trading Corp v. Bank Leumi Le-Israel Ltd. This time, in respect of the important defense of failure of consideration. The Supreme Court, in a decision given by the majority of Justices, annulled an anachronistic precedent that had been in effect since the 1960s (the Goisky Case), and established a new and modern precedent in its stead. However, after a short while, the Supreme Court decided to hold an additional hearing on this important matter. So a final decision has yet to be made.

Both the Goisky case and the Tal Trading case deal with the defense of failure of consideration raised by the drawer of the check as a remote party. According to the old Goisky precedent, any holder for value overcomes this defense and is entitled to payment by the drawer. While according to the new Tal Trading precedent, only a holder in due course will be entitled to it.
The article calls for abolishing the old Goisky precedent. It provides various theoretical, as well as practical arguments; analyzes the proper allocation of risk between all the parties involved; and, in particular, takes into account the changes in the role of checks in the Israeli economy over the years, from serving as a means of payment to serving as a common collateral for business credit.
