Observations Sur La Proposition De Loi Portant Transposition De La Directive Secrets Des Affaires (Observations on the French Law Proposal Transposing the European Trade Secrets Directive)

Abstract

French Abstract: Ces observations analysent de la proposition de loi n° 675 portant transposition de la directive 2016/943 du Parlement européen et du Conseil sur la protection des savoir-faire et des informations commerciales non divulguées contre l'obtention, l'utilisation et la divulgation illicites. La proposition de loi a été déposée le 19 février 2018 et n'est à l'heure actuelle qu'au début du processus législatif. Ce processus sera cependant particulièrement court, puisque le gouvernement a fait le choix en premier lieu d'engager la procédure accélérée sur ce texte, ce qui limitera son étude à une lecture par chaque chambre du Parlement. Par ailleurs faisant l'objet d'une proposition de loi et non d'un projet de loi, le présent texte n'a pu bénéficier de l'avis préalable du Conseil d'État. L'objectif du présent document est aussi d'offrir au législateur français, à un stade où ce dernier peut encore amender sa proposition, une critique de certaines dispositions qui ne sont pas conformes avec la directive ou risquent de soulever des difficultés en droit français. Le plan du texte adopté suit celui de la proposition de loi. La plupart des points soulevés ont pu être évoqués avec certain parlementaires lors d'une audition à l'Assemblée nationale le 8 mars 2018.

English Abstract: These observations propose an analysis of the French law proposal n°675 transposing the 2016/943directive of the European Parliament and the Council on the protection of undisclosed know-how and business information (trade secrets) against their unlawful acquisition, use and disclosure. The proposal was tabled with the Assemblée Nationale on the 19th of February 2018, and it is at the moment still at the beginning of the legislative process. This process will nevertheless be short, since the French Government decides to recourse to an accelerated procedure, limiting to one the number of reading in each chamber of the French Parliament.

The aim of the present document is, therefore, to offer to the French legislator, at a stadium were the latter has still the possibility to amend its proposal, a critic of some its provisions which are not in conformity with the directive or entail a risk to raise difficulties under French law. The observations followed the structure of the law proposal. Most of the points raised were already part of a discussion with some Member of the French Parliament during a National Assembly audition the 8th of March 2018.
