La transposition de la directive 'secret d’affaires' en droit français: une analyse de la proposition de loi adoptée par l’Assemblée nationale (The Transposition of the Trade Secrets Directive into French Law: An Analysis of the Text Adopted by the French National Assembly)

French Abstract: Ces observations proposent une analyse de la proposition de loi n° 675, adoptée par l’Assemblée nationale le 28 mars 2018 et portant transposition de la directive 2016/943 du Parlement européen et du Conseil sur la protection des savoir-faire et des informations commerciales non divulguées contre l’obtention, l’utilisation et la divulgation illicites. Même si la marge de manœuvre laissée par la directive aux États membres au stade de la transposition s’avère relativement réduite, il n’en reste pas moins qu’il s’agit d’un texte sensible pour le respect de l’équilibre du droit de la propriété intellectuelle ou au vu de ses implications en matière de droits fondamentaux. Dans ce contexte, les présentes observations entendent offrir une première analyse du texte voté par l’Assemblée nationale à un stade où le Sénat a encore la possibilité d’amender la proposition de loi.

English Abstract: The paper proposes an analyze the law proposal n°675, as adopted by the Assemblée Nationale the 28th of March transposing the 2016/943 directive of the European Parliament and the Council on the protection of undisclosed know-how and business information (trade secrets) against their unlawful acquisition, use and disclosure. Even if the degree of latitude left by the directive to the national legislator is relatively restricted, the legal regime of trade secrets remains sensible both regarding the general equilibrium of IPR as to its fundamental rights implications. In this respect, the present observation intent to offer a first analysis of the text as voted by the Assemblée Nationale at a stage, where the Senat has still the possibility to amend the proposal.
