Evaluations on Fidelity Rebates in Light of the Intel Decision from a Law and Economics Perspective (Intel Kararı Işığında Hukuk ve İktisat Perspektifinden Sadakat İndirimlerine İlişkin Bir Değerlendirme)

Abstract
English Abstract: On June 12, 2014, the General Court has decided on the Intel case, a determining case on the applicability of the analysis of abuse of dominance is expected to evolve into. The European Commission (“Commission”), in its decision approved by the General Court, has evaluated whether Intel Corporation’s (“Intel”) rebate system and its direct payments constitute abuse of dominance and fined Intel following an evaluation of fidelity rebates first under the presumptive illegality as per the case-law of EU Courts and secondly from an effects based approach. The General Court stated that it is adequate to appraise fidelity rebates under presumption of illegality and that it is not necessary to analyze their effects. The Intel case is significant in the way that it requires the dominant undertaking to prove that the fidelity rebate does not restrict competition. The General Court’s approach is in defiance of the Commission’s approach in the Intel case and the EU competition law authors’ criticism that favor an effects based approach towards the dominant undertakings’ actions. The General Court has signaled that the case-law will remain as it is on the burden of proof for fidelity rebates.
This article reflects upon the discussions raised in the competition law circles following the Intel decision on the application of the Guidance on its enforcement priorities in applying Article 82 of the EC Treaty to abusive exclusionary conduct by dominant undertakings and its limits, the meaning of a more economic approach for fidelity rebates, the arguments for objective justification and efficiencies achieved, and finally the as-efficient-competitor test. The article further assesses how fidelity rebates are addressed in the case-law of EU Courts and the decisions of the Turkish Competition Board, and considers the Intel case’s possible outcomes for the competition law practice in the European Union and Turkey.
Turkish Abstract: Avrupa Genel Mahkemesi (“Genel Mahkeme”), 12 Haziran 2014 tarihinde hakim durumun kötüye kullanılmasına ilişkin analizin evrilmesinin beklendiği yönün uygulanabilirliğine ilişkin belirleyici dosya kabul edilen Intel’e ilişkin kararını vermiştir. Genel Mahkeme tarafından onaylanan, Avrupa Komisyonu’nun (“Komisyon”) Intel Corporation’ın (“Intel”) uyguladığı indirim sistemleri ve doğrudan ödemeler ile hakim durumunu kötüye kullandığına ilişkin ceza verdiği kararında sadakat indirimleri AB Mahkemeleri içtihatları çerçevesinde hukuka aykırılık karinesi altında hem de etki odaklı bir yaklaşımla değerlendirilmiştir. Genel Mahkeme sadakat indirimlerinin hukuka aykırılık karinesi altında incelenmesinin yeterli olduğunu, Komisyon’un ihlalin varlığını belirlemek için etki analizi yapmasının gerekmediğini belirtmiştir. Intel dosyası, AB rekabet hukukunda hakim durumdaki teşebbüsün davranışlarının etki odaklı bir yaklaşımla ele alınması gerektiği yönündeki eleştirilere ve Komisyon’un buna paralel yaklaşımına karşın sadakat indirimlerinin rekabeti kısıtlamadığına ilişkin delil getirme yükümlülüğünü hakim durumdaki teşebbüs üzerinde bırakarak yerleşik içtihada sadık kalınacağının sinyallerini vermesi bakımından önemli bulunmaktadır.
Bu çalışmada Intel kararının rekabet hukuku çevrelerinde gündeme getirdiği tartışmalardan Hakim Durumdaki Teşebbüslerin Dışlayıcı Kötüye Kullanmalarında 82. Madde Uygulama Önceliklerine İlişkin Rehber’in uygulanabilirliğinin sınırları, sadakat indirimleri bakımından daha ekonomik bir yaklaşımın anlamı, haklı gerekçe ve etkinlik kazanımı iddialarının yeri ve eşit etkinlikteki rakip testi ele alınmıştır. Sadakat indirimlerine AB Mahkemeleri içtihadında ve Rekabet Kurulu kararlarında nasıl yaklaşıldığı incelenmiş ve Intel kararından kalkınarak Avrupa Birliği ve Türkiye rekabet hukuku uygulaması bakımından olası sonuçları değerlendirilmiştir.
