Abstract

The chapter start with sketching the legal background, in particular the company law-related section in the new 2013 Civil Code, which represents a paradigm shift from a detailed regulatory system to only that sets only the foundations. The Civil Code otherwise provides for no specific rules on shareholders' agreements. The chapter then provides an insight into the many uses of shareholders' agreements in contemporary Hungary through analysis of about twenty reported court and arbitral cases. The discussion ends with discussing the dilemmas concerning the enforcement of shareholders' agreements and with deliberations on the most frequent mistakes made in using shareholders' agreements.
