Abstract
This paper examines the recent slew of mergers and acquisitions legislation passed by the Chinese authorities to govern domestic as well as international mergers and acquisitions affecting Chinese enterprises. In addition, it identifies the issues and challenges facing foreign investors acquiring Chinese enterprises; and ends with a comparison of the legal regime between the traditional greenfield route of entering the Chinese market and the more recent and popular M&A path.
